1. Agreement to these terms
These Terms of Use ("Terms") govern your use of the website at camley.ai (the "Site"), operated by Camley, Inc., a Delaware corporation ("Camley", "we", "us" or "our"). By using the Site you agree to these Terms. If you are using the Site on behalf of a firm or other organisation, you confirm that you are authorised to accept these Terms for it. If you do not agree, please do not use the Site.
Our Privacy & Cookie Policy explains how we handle personal information.
2. The Site and our services
The Site provides information about Camley and our fund operations platform, and lets you request a demo, contact us or apply for a role. It is intended for business use by professionals, and you must be at least 18 years old to use it.
Access to and use of the Camley platform is governed by a separate written agreement between Camley and each customer. If that agreement conflicts with these Terms, the agreement prevails for the platform. Nothing on the Site is an offer to provide services on particular terms.
3. Acceptable use
You may use the Site only for lawful purposes and in line with these Terms. You agree not to:
- attempt to gain unauthorised access to the Site, our systems or any account, or probe, scan or test their vulnerability without our written permission;
- interfere with or disrupt the Site, including by sending malware, overloading it or circumventing any security measure;
- scrape, crawl or copy the Site's content in bulk, or use it to train machine-learning models, without our written permission;
- submit information that is false, misleading, or that you do not have the right to share, or impersonate any person or organisation;
- use the Site to send unsolicited marketing or to collect information about other users; or
- use the Site in any way that breaks applicable law or infringes the rights of others.
If you believe you have found a security vulnerability, please report it to contact@camley.ai rather than testing it further.
4. Information you send us
When you send us information through the Site's forms or by email, you confirm that it is accurate and that you are entitled to share it. Information submitted through the Site travels over encrypted connections and is handled as described in our Privacy & Cookie Policy.
Please do not send confidential or sensitive information, such as non-public details about your fund, your investors or your portfolio, through the Site's forms or in unsolicited email. Information you send this way is not subject to any confidentiality obligation, and no confidential relationship is created by it. Confidential information should only be shared with us under a written agreement, such as a non-disclosure agreement or a customer agreement, that sets out how it will be protected.
If you send us ideas, suggestions or feedback about Camley, you allow us to use them without restriction or payment to you.
5. Our commitments to you
When you use the Site, we commit to:
- handle your personal information as described in our Privacy & Cookie Policy, and respond to requests to exercise your privacy rights;
- protect the Site and the information you send us with reasonable technical and organisational security measures;
- use only service providers that are required to protect your information and use it only to provide their service to us;
- tell you about material changes to these Terms or our Privacy & Cookie Policy before they take effect (except where the law or a security risk requires an immediate change), by updating this page; and
- respond to questions and concerns sent to contact@camley.ai.
Our commitments to customers about the Camley platform, including service levels, security and data protection, are set out in our customer agreements.
6. Intellectual property
The Site and its content, including text, graphics, logos, images, videos, product visuals and software, are owned by Camley or our licensors and are protected by intellectual property laws. The Camley name and logo are our trademarks. You may view and print pages of the Site for your own business evaluation of Camley. You may not otherwise copy, modify, distribute, sell or create derivative works from any part of the Site, or use our trademarks, without our prior written permission.
7. Third-party sites and service providers
The Site links to websites and services run by others, such as LinkedIn. We do not control them and are not responsible for their content, availability or privacy practices. Your use of them is governed by their own terms.
We rely on third-party service providers to host the Site, receive form submissions and deliver email. Each of them handles the information it receives for us under its agreement with us, including its commitments on confidentiality and security. The providers who handle personal information are listed in our Privacy & Cookie Policy.
8. No investment, legal or tax advice
Content on the Site is general information about Camley and our products. It is not investment, legal, tax, accounting or other professional advice, and it is not an offer or solicitation to buy or sell any security or interest in any fund. Any examples, figures or workflows shown are illustrative. You should not rely on the Site as a substitute for advice from your own professional advisers.
9. Disclaimers
We work to keep the Site accurate and available, but it is provided "as is" and "as available". To the fullest extent permitted by law, Camley disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site will be uninterrupted, error-free, secure or free of harmful components, or that its content is complete or current.
10. Limitation of liability
To the fullest extent permitted by law, Camley and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred US dollars (US$100).
Some jurisdictions do not allow certain warranties or liabilities to be excluded or limited, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
11. Indemnity
You agree to indemnify and hold harmless Camley and its officers, directors, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.
12. Changes and suspension
We may update the Site, or suspend or discontinue any part of it, at any time. We may also update these Terms. When we do, we will change the "Last updated" date above. We will post material changes at least 30 days before they take effect, except where a change is required by law or needed to address a security risk, in which case it may take effect immediately. Your continued use of the Site after that means you accept the updated Terms. We may suspend or restrict access to the Site for anyone who breaches these Terms.
13. Governing law
These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any such dispute, and you consent to their jurisdiction.
14. General
These Terms are the entire agreement between you and Camley about the Site. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours to a successor in connection with a merger, acquisition or sale of our business.
